Terms of Service

By creating an account, accessing, or using HoldPoint Marketplace, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and HoldPoint. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

To use HoldPoint, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using the Platform under applicable law
• Not have had a previous account terminated by HoldPoint for policy violations

By using the Platform, you represent and warrant that you meet all eligibility requirements.

• You must provide accurate, complete, and current information when creating and maintaining your account.
• You are solely responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities conducted under your account, whether or not authorized by you.
• You must immediately notify us of any unauthorized access to or use of your account.
• HoldPoint shall not be liable for any loss resulting from unauthorized account access due to your failure to secure your credentials.

HoldPoint offers sign-in via Google and Facebook OAuth as a convenience feature. By using these services:

• You authorize HoldPoint to receive and store basic profile information (name, email, profile picture) from the respective platform.
• You acknowledge that your use of Google or Facebook sign-in is also subject to the terms and privacy policies of those platforms.
• Revoking HoldPoint's access on the third-party platform does not automatically delete your HoldPoint account or associated data.
• You may request account deletion separately by following our Data Deletion Instructions.

You agree to use HoldPoint only for lawful purposes and in accordance with these Terms. You must not:

• Engage in fraudulent activity, misrepresentation, or the provision of false or misleading information
• Harass, abuse, or harm other users of the Platform
• Post or transmit content that is unlawful, defamatory, obscene, or infringes on the rights of others
• Attempt to gain unauthorized access to any part of the Platform or its systems
• Use automated tools (bots, scrapers) to access or interact with the Platform without written permission
• Engage in any activity that disrupts or interferes with the proper functioning of the Platform
• Create multiple accounts to circumvent restrictions or bans

• Buyers are responsible for reviewing all transaction details, terms, pricing, and conditions prior to confirming a transaction.
• By proceeding with a transaction, buyers confirm they have read, understood, and accepted the presented terms.
• Buyers must fulfill payment obligations within the agreed timeframe.
• Buyers must report any issues or disputes through the Platform's designated reporting process within a reasonable time.

• Sellers must ensure that all listings and product/service representations are accurate, complete, and not misleading.
• Sellers are obligated to fulfill transactions in accordance with the agreed terms and within the agreed timeframe.
• Any modifications to a transaction must be clearly disclosed and mutually agreed upon by all involved parties before the change takes effect.
• Sellers may not list items that are illegal, counterfeit, or otherwise prohibited under applicable law.

HoldPoint serves as a platform to facilitate transactions between users. Regarding transactions:

• All payment transactions are processed through our third-party payment provider. HoldPoint does not store full payment card information.
• Once a transaction is marked as completed by both parties, it is deemed final and binding.
• No further modifications or reversals will be entertained unless the transaction was formally reported and is under review prior to completion.
• Payout disbursements to sellers are subject to our standard processing timeline and verification requirements.

• Users are primarily responsible for resolving disputes that arise during or after transactions.
• Any concerns or disputes must be formally reported through the Platform's designated reporting process.
• Only transactions that have been formally reported before completion may be subject to review by HoldPoint.
• HoldPoint may, at its sole discretion, investigate reported disputes and take appropriate action, including suspension of accounts or reversal of transactions.
• HoldPoint's determination in dispute reviews is final.

All content, features, and functionality on HoldPoint — including but not limited to the Platform's design, logos, text, graphics, and software — are owned by HoldPoint and are protected by applicable intellectual property laws. You may not:

• Copy, reproduce, or distribute HoldPoint's proprietary content without written permission
• Reverse-engineer, decompile, or otherwise attempt to derive source code from the Platform

You retain ownership of content you post on the Platform. By posting content, you grant HoldPoint a non-exclusive, royalty-free license to use, display, and distribute that content as necessary to operate the Platform.

To the fullest extent permitted by applicable law:

• HoldPoint is not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — the Platform.
• This includes, but is not limited to, losses related to transactions, user interactions, data loss, or reliance on information provided by other users.
• HoldPoint does not guarantee the accuracy, quality, safety, or legality of any listing, transaction, or user on the Platform.
• In no event shall HoldPoint’s total liability exceed the service fees actually paid to and retained by HoldPoint by the user in the twelve (12) months preceding the claim. Amounts paid to sellers, product prices, delivery fees, and third-party charges are excluded from this limit.

HoldPoint reserves the right to suspend or terminate your account at any time, with or without notice, for reasons including but not limited to:

• Violation of these Terms of Service
• Fraudulent, abusive, or illegal conduct
• Requests by law enforcement or other government authorities

You may also terminate your account at any time by following our account deletion process. Termination does not relieve you of obligations incurred prior to termination.

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in the Philippines.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by:

• Posting the updated Terms on this page with a new effective date
• Sending an email notification to your registered email address
• Displaying a notice within the Platform

Your continued use of HoldPoint after the effective date constitutes acceptance of the revised Terms. If you disagree with the changes, you must stop using the Platform and may request account deletion.
